STANDARD TERMS AND CONDITIONS

By placing an order with Smartinfosys.net, you (client) confirm that you are in agreement with and bound by the terms and conditions below.

TIME PERIOD, FESS AND DEPOSITS

Time required for the completion of work order is 8 working days from the date of work order subject to timely delivery of content by client. The entire payment is taken on start and no refund of any nature is given for them once the work order is executed.

MATERIALS AND INFORMATION

You must supply all materials and information required by us to complete the work in accordance with any agreed specification. Such materials may include, but are not limited to, photographs, written copy, logos and other printed material. Where there is any delay in supplying these materials to us which leads to a delay in the completion of work, we have the right to extend any previously agreed deadlines by a reasonable amount. The information for the website pages are to be provided by you.

If there is an addition to the agreed scope of work, we have the right to invoice you for that. Smartinfosys.net cannot take responsibility for any copyright infringement caused by material submitted by the client. We reserve the right to refuse any material of a copyrighted nature unless adequate proof is given of permission to use such material.

VARIATIONS

We are pleased to offer you the opportunity to make revisions to the design. However, we have the right to limit the number of design proposals to a reasonable amount and may charge for additional designs if you make a change to the original design specification.

For website design and graphic design, we usually provide 02 design variations which are open to another two rounds of revisions. Our website development phase is flexible and allows certain variations to the original specification in terms of text and image modifications. However any major deviation from the specification will be charged at the rate of Rupees 500 per hour.

Any additions to the brief will be carried out at the discretion of Smartinfosys.net and where no charge is made by Smartinfosys.net for such additions, Smartinfosys.net accepts no responsibility to ensure such additions are error free and reserve the right to charge an according amount for any correction to these or further additions.

PROJECT DELAYS AND CLIENT LIABILITY

Any time frames or estimates that we give are contingent upon your full co-operation and complete and final content in photography for the work pages. During development, there is a certain amount of feedback required in order to progress to subsequent phases. It is required that single point of contact be appointed from your side and be made available on a daily basis in order to expedite the feedback process. Smartinfosys.net will not be liable for costs incurred, compensation or loss of earnings due to the failure to meet agreed deadlines.

APPROVAL OF WORK

On completion of the work, you will be notified and have the opportunity to review it. You must notify us in writing of any unsatisfactory points within 07 days of such notification. Any of the work which has not been reported in writing to us as unsatisfactory within the 07 days review period will be deemed to have been approved. Once approved, or deemed approved, work cannot subsequently be rejected and the contract will be deemed to have been completed.

REJECTED WORK

If you reject any of our work within the 07 days review period, or not approve subsequent work performed by us to remedy any points recorded as being unsatisfactory, and we, acting reasonably, consider that you have been unreasonable in any rejection of the work, we can select to treat this contract as at an end and in this case, no refund is applicable.

PAYMENT

The entire payment is on start and refund if any will be as per the refund clause given in the agreement.

WARRANTY BY YOU AS TO OWNERSHIP OF INTELLECTUAL PROPERTY RIGHTS

You must obtain all necessary permissions and authorities in respect of the use of all copy, graphic images, registered company logos, names and trademarks, or any other material that you supply to us to include in your website or web applications.

You must indemnify us and hold us harmless from any claims or legal actions related to the content of your website.

LICENSING

Once you have paid us in full for our work, we grant to you a license to use the website and its related software and content for the life of the website.

CONSEQUENTIAL LOSS

We shall not be liable for any loss or damage which you may suffer which is in any way attributable to any delay in performance or completion of our contract, however that delay arises.

DISCLAIMER

To the full extent permitted by law, all terms, conditions, warranties, undertakings, inducements or representations whether express, implied, statutory or otherwise (other than the express provisions of these terms and conditions) relating in any way to the services we provide to you are excluded. Without limiting the above, to the extent permitted by law, any liability of Smartinfosys.net under any term, condition, warranty or representation that by law cannot be excluded is, where permitted by law, limited at our opinion to the replacement, re-repair or re-supply of the services or the payment of the cost of the services that we were contracted to perform.

SUBCONTRACTING

We reserve the right to subcontract any services that we have agreed to perform for you as we see fit.

NON-DISCLOSURE

We (and any subcontractors we engage) agree that we will not at any time disclose any of your confidential information to any third party.

ADDITIONAL EXPENSES

You agree to reimburse us for any requested expenses which do not form part of our proposal including but not limited to the purchase of templates, third party software, stock photographs, fonts, domain name registration, web hosting or comparable expenses which are not the part of agreed scope of work.

BACKUPS

We take weekly backups and in case of problem with the server, the backup will be restored at no extra cost.

OWNERSHIP

A renewal charge of 2499 Rs every year is applicable for Special Website Offer of 3999 Rs.

Unless you have our specific written agreement in the project contract, all products including Content Management Systems, Interfaces, Navigational devices, menus, menu structures or arrangements, icons, help, all operational instructions, scripts, cgi applications, software, programming/source code, and all other components of any source or object computer code that comprises the website, all literal and non-literal expressions of ideas that operate, cause, create, direct, manipulate, access, or otherwise affect the content and design elements used or developed and all software, and our products and results of our services remain our property and we retain full ownership rights and all intellectual property rights. You specifically agree not do anything that may in any way infringe upon or undermine our rights, title, or interest in the website or our products and services. This includes, but is not limited to, any sale, transfer or gift of the whole or of any part of any item, data or anything whatsoever that we own. You fully understand that we may reproduce, reuse, develop and use in any other way we choose, anything within our ownership.

Smartinfosys.net cannot take responsibility for any losses incurred by the use of any software created for the client. Whilst every care has been taken to ensure products are problem free and accurate, the ultimate responsibility lies with the client in ensuring that all software is functioning correctly before use. The client is expected to test fully any application or programming relating to a site developed by Smartinfosys.net before being made generally available for use. Where “bugs”, errors or other issues are found after the site is live, Smartinfosys.net will endeavour (but is not obliged to) to correct these issues to meet the standards of function outlined in the brief.

Website Hosting

We offer hosting services through our dedicated portal www.yoursmarthost.com. You are obliged to adhere to terms and conditions as given on www.yoursmarthost.com.

GOVERNING LAW

The agreement constituted by these terms and conditions and any proposal will be constructed according to and is governed by the laws of India. You and our Indian entity, IT Mech Solutions which is permitted to use our brand name Smartinfosys.net, submit to the non-exclusive jurisdiction of the courts in and of India in relation to any dispute arising under these terms and conditions or in relation to any services we perform for you. The services are subject to Surat jurisdiction.

CROSS BROWSER COMPATIBILITY

We endeavour to ensure that the web sites we create are compatible with all current modern web browsers such as the most recent versions of Internet Explorer, Firefox, Google Chrome and Safari.

E-COMMERCE

You agree to reimburse us for any requested expenses which do not form part of our proposal including but not limited to the purchase of templates, third party software, stock photographs, fonts, domain name registration, web hosting or comparable expenses which are not the part of agreed scope of work.

SUPPORT PROCEDURE

Support is available form 9 AM to 8 PM in Indian Time Zone, Monday to Saturday. We remain closed on Sundays and Last Saturday of every month. Every support request is given a support number so that you can keep track of the progress. Please ensure to take support ticket number from customer support executive if the support request is not resolved telephonically.
